Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and {{LEGAL_ENTITY}} ("Tely," "we," "us," or "our"), the operator of the Tely mobile application and website at telyapp.com (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use Tely. If you are between 13 and 17 years old, you represent that a parent or legal guardian has reviewed and agrees to these Terms on your behalf. By using the Service, you represent that you meet this age requirement and that your use of Tely does not violate any law or regulation in your jurisdiction.

3. Your account

You may create one personal account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at legal@telyapp.com.

You agree to provide accurate information and keep it up to date. We may reclaim, suspend, or terminate usernames that impersonate another person, infringe intellectual property rights, or otherwise violate these Terms.

4. The Service

Tely is a social tracking service for movies and TV shows. It lets you maintain a watchlist, log what you've watched, write reviews, rate content, and follow other users. Movie and TV metadata (titles, posters, descriptions, cast, air dates) is sourced from TMDB and TVDB under their respective terms; Tely does not host, stream, or distribute video content.

We may add, modify, or remove features at any time and cannot guarantee continuous or error-free availability of the Service.

5. User content and license

You retain ownership of content you create on Tely — reviews, comments, lists, profile information, and other material you post ("User Content").

By posting User Content, you grant Tely a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (e.g., resize or reformat images), publicly display, publicly perform, and distribute your User Content solely to operate, improve, and promote the Service. This license ends when you delete the content or your account, subject to reasonable backup-clearing latency (up to 30 days).

You represent and warrant that you own or have the necessary rights to grant this license, and that your User Content does not infringe the rights of any third party.

6. Acceptable use

You agree not to post or transmit content that:

  • Infringes any copyright, trademark, or other intellectual property right
  • Is defamatory, harassing, threatening, hateful, or discriminatory based on race, ethnicity, religion, gender, sexual orientation, disability, or similar characteristics
  • Is sexually explicit, obscene, or pornographic
  • Exploits, endangers, or solicits minors in any way
  • Promotes or glorifies violence, terrorism, or self-harm
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity
  • Contains another person's private information without their consent (doxxing)
  • Constitutes spam, unsolicited bulk messaging, or fraudulent content
  • Violates any applicable local, national, or international law or regulation

You also agree not to:

  • Scrape, crawl, or programmatically access the Service without prior written permission
  • Attempt to reverse-engineer, decompile, or access systems or code underlying the Service
  • Circumvent any technical controls, rate limits, or security measures
  • Use the Service to collect or harvest other users' personal information

We may remove content or suspend accounts at our sole discretion for violations of these rules or conduct we deem harmful to the Service or its users.

7. Reviews and metadata disclaimer

Reviews, ratings, and opinions posted on Tely are those of individual users, not of Tely. We do not endorse or verify User Content. Movie and TV metadata is sourced from TMDB and TVDB; Tely does not warrant its accuracy, completeness, or currency. TMDB and TVDB are not affiliated with Tely and are not responsible for the Service.

8. Reporting and moderation

You may report content you believe violates these Terms using the in-app report feature. You may block other users to prevent them from interacting with you. We review reports as resources permit and will take action where we determine a violation has occurred. We do not guarantee response times or outcomes for any particular report. Moderation decisions are at our sole discretion.

9. Copyright and DMCA

Tely respects intellectual property rights. If you believe content on Tely infringes your copyright, please follow our DMCA takedown procedure. Accounts that repeatedly infringe copyrights will be terminated.

10. Termination

You may delete your account at any time from Settings → Account → Delete Account, or by emailing legal@telyapp.com. We may suspend or permanently terminate your account if we determine, in our sole discretion, that you have violated these Terms, engaged in fraud or abuse, or if required by applicable law. Upon termination, your right to use the Service ceases immediately.

Sections 5, 7, 11, 12, 13, 14, 15, 16, and 20 survive termination.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TELY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF METADATA OR USER CONTENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions, our disclaimers apply to the maximum extent permitted by law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TELY AND ITS OPERATORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TELY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) USD $100.00 OR (B) THE TOTAL AMOUNT YOU PAID TELY IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain liability limitations; in such jurisdictions, our liability is limited to the smallest amount permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless {{LEGAL_ENTITY}} and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of or access to the Service; (c) your violation of these Terms; or (d) your violation of any rights of a third party. We reserve the right to assume exclusive control of any matter subject to indemnification, at your expense, with your cooperation.

14. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of {{GOVERNING_STATE}}, United States, without regard to its conflict-of-laws principles. Subject to Section 15 (arbitration), you and Tely each agree to submit to the exclusive personal jurisdiction of the state and federal courts located in {{GOVERNING_STATE}} for the resolution of any disputes not subject to arbitration.

15. Binding arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small-claims court or disputes where equitable relief is sought to protect intellectual property rights, you and Tely agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS or the American Arbitration Association ("AAA") under their applicable Consumer Arbitration Rules, and not by a court.

YOU AND TELY EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR CONSOLIDATED PROCEEDING. The arbitrator may award the same damages and relief as a court, subject to the liability limits in Section 12.

Opt-out right: You may opt out of this arbitration clause by sending written notice to legal@telyapp.com with the subject line "Arbitration Opt-Out" within 30 days of the date you first agree to these Terms. Opting out does not affect any other provision of these Terms.

This arbitration clause does not apply to the extent it is unenforceable under applicable consumer protection law (including in certain EU jurisdictions where mandatory court access is guaranteed).

16. Time limit on claims

To the extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after the claim arose. Claims not brought within that period are permanently barred.

17. Apple App Store terms

If you downloaded Tely from the Apple App Store, the following additional terms apply:

  • These Terms are between you and {{LEGAL_ENTITY}}, not Apple Inc. Apple is not responsible for the Service or its content.
  • Apple has no obligation to provide maintenance, support, or warranty for the Service.
  • Apple is not responsible for addressing any claims by you or a third party relating to the Service or your possession or use of it.
  • Apple is a third-party beneficiary of these Terms and has the right to enforce them against you.
  • You confirm you are not located in a US-embargoed country and are not on any US government prohibited-parties list.

18. Google Play terms

If you downloaded Tely from Google Play, these Terms supplement (and do not replace) the Google Play Terms of Service. To the extent of any conflict, the more restrictive terms apply.

19. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by in-app notice or email to the address on your account at least 14 days before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.

20. Miscellaneous

These Terms, together with the Privacy Policy and DMCA Policy, constitute the entire agreement between you and Tely regarding the Service and supersede all prior agreements. If any provision is found unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without our prior written consent; we may assign our rights and obligations freely. Section headings are for convenience only.
